Incorporations, corporate and M&A
Incorporations, holding structures and reorganizations. Share and asset purchases on both sides. Shareholder agreements and minute books.
Growing companies don’t need a firm on retainer. They need one lawyer who knows their business inside and out, picks up the deal the moment it lands, and is still there after it closes. Hasman Dhaliwal does this for a handful of Alberta companies, and closes about 300 transactions a year doing it.
Most growing companies hit the same wall. There's enough legal work for a lawyer in the room every week, but not enough to justify a full-time salary, and sending every contract to an outside firm at hourly rates means the lawyer never learns the business.
Fractional general counsel fixes that. Hasman works inside your company: on your email, in your meetings, across your contracts, your people and your deals. He learns how you operate, who your counterparties are and where the risk actually sits, so legal stops being a bottleneck and starts being a function.
It's how he works today, as general counsel to one of Alberta's largest home builders and to a founder's blockchain ventures, and it's the model HSD Law is built around.

Clients get Hasman, not a layer of associates and assistants. He picks up, he replies, and he already knows the file.
Documents shared and tracked online, funds by wire, e-signature wherever the law allows it. Every file runs on the same tooling, so you can see where things stand without asking.
Systems built from thousands of closings and transactions, so the routine is fast and the lawyer's attention goes where the risk actually is.
Hasman Dhaliwal is an Alberta business lawyer, based in Edmonton, whose practice covers commercial lending, real estate development, commercial leasing, franchising, corporate work and the newer ground of cryptocurrency and digital-asset transactions. He closes roughly 300 transactions a year across the province and serves as general counsel to one of Alberta's largest home builders and to a founder's blockchain startups, alongside deal work for developers and real estate investment platforms.
He represents borrowers and lenders in private and commercial lending, from construction financing to corporate credit facilities. He advises developers, builders and purchasers from subdivision and lot sales through to complex leasing, and negotiates leases for landlords with an eye to both compliance and the deal's economics. In franchising he structures systems for franchisors and reviews them for franchisees. In crypto he has negotiated multi-party settlements and drafted the service agreements and terms that digital-asset businesses run on.
He holds a Juris Doctor from the University of Alberta, a Bachelor of Commerce in Accounting from MacEwan University and a Bachelor of Arts from the University of Alberta, which is why his advice tends to start with the numbers and the structure rather than the paper. Before HSD Law he co-founded an Edmonton firm, where he built the closing systems and tooling his practice runs on. Clients describe him the same way: communicative. He is a member of the South Asian Bar Association of Edmonton and is fluent in Punjabi.
